USER AGREEMENT

1. Introduction

These Terms of Service (the “Agreement”) govern the access to and use of the services provided by HIKARICP (the “Company”, “we”, “us”, or “our”), a digital asset trading platform operating under the laws of the Republic of Seychelles.

By accessing, registering, or using any services provided by HIKARICP, you (“User”, “you”, or “your”) confirm that you have read, understood, and agreed to be legally bound by this Agreement.

If you do not agree with any provision of this Agreement, you must not access or use the Services.

2. Definitions

For the purposes of this Agreement:

• “Account” means a registered user account on the Platform.

• “Digital Assets” means cryptocurrencies, tokens, virtual assets, and other blockchain-based assets.

• “Custodial Services” means that HIKARICP holds and controls Users’ Digital Assets on their behalf.

• “Platform” means the website, mobile applications, APIs, and related services operated by HIKARICP.

• “Services” include but are not limited to spot trading, futures trading, margin trading, staking, and earn products.

• “Restricted Jurisdiction” means any country or territory subject to sanctions, embargoes, or restrictions, including but not limited to the United States of America, Canada, the Russian Federation, and any other sanctioned jurisdiction.

3. Eligibility

By using the Services, you represent and warrant that:

1. You are at least 18 years old or the age of legal majority in your jurisdiction.
2. You have full legal capacity to enter into binding agreements.
3. You are not a citizen, resident, or located in any Restricted Jurisdiction.You are not a U.S. Person as defined under applicable U.S. laws and regulations.
4. You are not subject to any sanctions, blacklists, or restrictive measures.
5. You are not using the Services on behalf of any sanctioned or restricted individual or entity.

We reserve the right to refuse service to any person at our sole discretion.

4. Account Registration

To access the Services, you must create an Account and complete the identity verification (KYC) process.

You agree to:

• Provide accurate, complete, and up-to-date information.

• Maintain the security of your login credentials.

• Notify us immediately of any unauthorized use of your Account.

You are solely responsible for all activities conducted through your Account.

5. KYC and AML Compliance

HIKARICP operates in accordance with international anti-money laundering (AML) and counter-terrorist financing (CTF) standards.

We reserve the right to:

• Verify your identity at any time

• Request additional documents or information

• Perform enhanced due diligence

• Monitor transactions

• Freeze, restrict, or terminate Accounts

Failure to comply may result in suspension or permanent termination of your Account.

6. Custodial Nature of Services

HIKARICP provides custodial services, meaning we hold and control Digital Assets on your behalf.

You acknowledge and agree that:

• You do not control the private keys.

• You grant us permission to manage, transfer, and store Digital Assets for the purpose of providing the Services.

• Your assets may be pooled with other users’ assets.

• In the event of system failure, cyberattack, or insolvency, access to your assets may be delayed or restricted.

7. Spot Trading

Spot trading allows Users to buy and sell Digital Assets at current market prices.

You acknowledge that:

• Prices are volatile.

• Market conditions can change rapidly.

• Slippage and partial fills may occur.

• Orders may not execute at expected prices.

We do not guarantee liquidity or order execution.

8. Futures and Margin Trading

Futures and margin trading involve leverage and carry a high level of risk.

By using these features, you acknowledge:

• You may lose more than your initial investment.

• Liquidation may occur without prior notice.

• Margin requirements may change.

• Positions may be forcibly closed.

You are solely responsible for monitoring your positions.

9. Staking and Earn Products

Staking and Earn products are not guaranteed investment products.

You acknowledge that:

• Returns are not guaranteed.

• Lock-up periods may apply.

• Early withdrawal may not be possible.

• Smart contract risks may exist.

• Validator slashing and protocol risks may apply.

10. No Fiat Services

HIKARICP does not provide fiat on-ramp or off-ramp services.

All transactions are conducted exclusively using Digital Assets.

11. Prohibited Activities

You agree not to engage in any of the following activities:

• Violating any applicable laws or regulations

• Using the Platform for money laundering, terrorist financing, or other illegal activities

• Market manipulation, wash trading, spoofing, or front-running

• Circumventing geo-blocking or KYC restrictions

• Using VPNs, proxies, or other methods to hide your location from Restricted Jurisdictions

• Providing false, misleading, or incomplete information

• Hacking, exploiting, or reverse engineering the Platform

• Using bots or automated trading systems without authorization

• Interfering with the Platform’s infrastructure

We reserve the right to investigate and take legal action against any User engaged in prohibited activities.

12. Sanctions, Restricted Jurisdictions, and Geo-Blocking

The Services are not available to residents, citizens, or entities located in:

• United States of America

• Canada

• Russian Federation

• Any sanctioned, embargoed, or restricted jurisdiction

You agree not to use the Services if you are a resident or citizen of any Restricted Jurisdiction.

We implement geo-blocking, IP monitoring, and other controls to enforce these restrictions. Circumventing such measures is strictly prohibited.

13. Market Integrity and Fair Use

Users must not engage in any conduct that may disrupt market integrity, including but not limited to:

• Wash trading

• Spoofing

• Layering

• Pump and dump schemes

• Dissemination of false or misleading information

We reserve the right to cancel trades, suspend accounts, and confiscate gains resulting from prohibited behavior.

14. Account Suspension and Termination

We may suspend, restrict, or terminate your Account at any time, with or without notice, if:

• You violate this Agreement

• You fail to complete KYC/AML checks

• You provide false or misleading information

• You are suspected of illegal or fraudulent activity

• Required by law or regulation

Upon termination, we may freeze or confiscate assets where legally required.

15. Risk Disclosure

You acknowledge and agree that:

• Trading Digital Assets is highly speculative.

• Prices are extremely volatile.

• Past performance does not guarantee future results.

• You may lose all of your funds.

You use the Services at your own risk.

16. No Investment Advice

Nothing on the Platform constitutes:

• Financial advice

• Investment advice

• Trading recommendations

• Legal or tax advice

You are solely responsible for your investment decisions.

17. Limitation of Liability

To the maximum extent permitted by law, HIKARICP shall not be liable for:

• Loss of profits

• Loss of data

• Loss of business

• Indirect or consequential damages

• Market losses

• Liquidations

• System failures

• Cyberattacks

• Smart contract failures

Our total liability shall not exceed the total fees paid by you to HIKARICP during the previous 12 months.

18. Indemnification

You agree to indemnify and hold harmless HIKARICP, its directors, employees, and affiliates from any claims, damages, losses, or expenses arising from:

• Your violation of this Agreement

• Your misuse of the Services

• Your breach of any laws

19. Force Majeure

We shall not be liable for any failure or delay caused by events beyond our reasonable control, including:

• Natural disasters

• Wars

• Strikes

• Power outages

• Network failures

• Government actions

• Cyberattacks

20. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws.

You consent to the collection, storage, and processing of your personal data for compliance and operational purposes.

21. Intellectual Property

All content, software, trademarks, and branding on the Platform are the exclusive property of HIKARICP.

You may not copy, reproduce, or distribute any content without prior written consent.

22. Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration.

The seat of arbitration shall be determined by HIKARICP.

You waive your right to participate in any class action.

23. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Seychelles.

24. Amendments

We reserve the right to modify this Agreement at any time.

Continued use of the Services constitutes acceptance of the updated terms.
